It was necessary to bring Tata Sons to bring in ambit of Public Ltd Company to bring more transparency which Tata Sons was not ready to abide for reason best known to it or suspicious minds like me.
So Modi Sarkar started the game in coordination with RBI.

In Sept 2022, RBI classified Tata Sons, a core investment company that borrows funds from banks and markets to invest in its group companies, as an NBFC-Upper Layer (NBFC-UL) & as per RBI regulations, an NBFC-UL MUST BE LISTED WITHIN 3 YEARS OF THIS CLASSIFICATION.

Now Tata Sons had no option! Either repay loans to come out of NBFC-UL or Convert into Public Ltd Company.
